New Era in Disclosures: English Disclosure Requirement Extended to All Listed Companies

Pursuant to the Capital Markets Board of Türkiye’s (the “CMB”) Bulletin No. 2026/51 dated August 13, 2026, the scope of the English-language requirement applicable to disclosures by listed companies whose shares are traded on the stock exchange is being expanded.
Pursuant to CMB’s decision No. 49/1489 dated August 13, 2026, as of October 1, 2026, the first paragraph of the “Language and Form of Material Event Disclosures” section of the CMB’s Material Events Guide will apply to all publicly held companies whose shares are traded on the stock exchange.
Accordingly, all such companies will be required to publish their disclosures simultaneously in Turkish and English. The relevant company will be responsible for the accuracy of the content of the English disclosure. In addition, the English disclosure must include a disclaimer stating that the Turkish version shall prevail.
Until October 1, 2026, this requirement will continue to apply only to companies classified in the first group under the CMB’s corporate governance regulations. Companies newly falling within the scope of the requirement will need to complete the necessary preparations for compliance by this date.
Conclusion
The extension of the English disclosure requirement to all listed companies whose shares are traded on the stock exchange introduces a new compliance process for companies newly falling within its scope. These companies should review their internal procedures for the simultaneous publication of Turkish and English disclosures and complete the necessary preparations by October 1, 2026.
